Option to Renew

A negotiated right to extend the lease for an additional term under stated conditions.

What It Is

A renewal option gives the tenant the right — not the obligation — to extend the lease for a defined additional period. The option specifies the notice window, the length of the extension, and how rent will be determined.

Rent on renewal may be a fixed amount, a stated escalation, a market-rate determination, or a combination with a floor and a ceiling.

Why It Matters

For a business that has invested in buildout, built local traffic, and trained staff around a location, the ability to stay is a substantial asset. Without an option, the tenant negotiates from a weaker position at expiration.

The notice window is where options are most often lost. Missing it by a matter of weeks can extinguish the right entirely.

For an owner, options affect financing, valuation, and future flexibility, so their terms deserve as much attention as the initial rent.

Common Misconceptions

  • "I can renew whenever I decide." Options must be exercised inside a defined window, in the manner the lease requires.
  • "Renewal rent will be similar to today's rent." Market or escalated rent can differ substantially.
  • "An option to renew guarantees the space long term." It applies only for the stated term and only if the tenant is in compliance.

  • Do I lose the option if I have had a late payment or a cured default?
